4. Account Registration and Security

To access certain features of our Website or to place orders, you may be required to create an account. When creating an account, you agree to provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account username and password, and for all activities that occur under your account.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that your account has been compromised or that you have violated these Terms.

5. Online Ordering and Payment Terms

5.1 Order Placement

When you place an order through our Website, you are making an offer to purchase the selected food items and services at the stated price. We reserve the right to accept or reject any order at our sole discretion. An order confirmation does not constitute our acceptance of your order; acceptance occurs when we begin preparation of your order.

All orders are subject to product availability. We reserve the right to substitute items of equal or greater value if a specific item is unavailable, or to cancel the affected portion of your order with appropriate notification.

5.2 Pricing

All prices displayed on our Website are in United States Dollars (USD) and are subject to applicable taxes. We reserve the right to change our prices at any time without prior notice. The price charged for your order will be the price in effect at the time your order is placed.

Menu prices may vary between our online platform and in-store pricing. We are not responsible for pricing discrepancies between our Website and third-party platforms.

5.3 Payment

We accept major credit cards, debit cards, and other payment methods as indicated on our Website. By providing your payment information, you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge your payment method for the total amount of your order, including applicable taxes and fees.

All payment transactions are processed through secure, third-party payment processors. We do not store complete credit card information on our servers. Your payment information is subject to the privacy policy and terms of service of the applicable payment processor.

5.4 Refunds and Cancellations

Our refund and cancellation policy is subject to the specific circumstances of each order. Once an order has been accepted and preparation has begun, cancellations may not be possible. If you have concerns about your order, please contact us immediately at [email protected]. We reserve the right to determine appropriate remedies for order issues on a case-by-case basis.

6. Allergen and Nutritional Information

We provide allergen and nutritional information on our Website as accurately as possible. However, our food is prepared in shared kitchen environments where cross-contamination may occur. We cannot guarantee that any menu item is completely free from allergens. If you have food allergies or dietary restrictions, you acknowledge and accept the risk of potential cross-contamination and agree to consult with our staff before placing your order.

Mod Pizza shall not be held liable for any allergic reactions or health issues arising from the consumption of our products where you have not disclosed your dietary restrictions or where cross-contamination has occurred despite reasonable precautions.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Website and all of its content, features, and functionality — including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, and the compilation thereof — are the exclusive property of Mod Pizza or its licensors and are protected by United States and international intellectual property laws, including copyright, trademark, patent, trade secret, and other proprietary rights laws.

The Mod Pizza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mod Pizza or its affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

7.2 Limited License to Users

Subject to your compliance with these Terms, Mod Pizza grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website solely for your personal, non-commercial use in connection with our food and beverage services. This license does not include:

  • Any resale or commercial use of our Website or its contents
  • Any collection and use of product listings, descriptions, or prices
  • Any derivative use of our Website or its contents
  • Any downloading or copying of account information for another's benefit
  • Any use of data mining, robots, or similar data gathering and extraction tools

7.3 User-Submitted Content

If you submit, upload, post, or otherwise transmit any content to us — including reviews, comments, photos, feedback, or suggestions ("User Content") — you grant Mod Pizza a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

You represent and warrant that you own or have the necessary rights to submit the User Content and that it does not violate any third-party rights or applicable laws.

8. Third-Party Links and Services

Our Website may contain links to third-party websites, services, or platforms, including third-party delivery services, payment processors, and social media platforms. These links are provided for your convenience only. We have no control over the content, privacy practices, or terms of service of these third-party sites, and we do not endorse or take responsibility for them.

Your interactions with third-party websites and services are governed by their respective terms of service and privacy policies. We strongly encourage you to review these documents before engaging with any third-party services. Mod Pizza shall not be liable for any damages or losses caused or alleged to be caused by your use of third-party websites or services.

9. Disclaimer of Warranties

YOUR USE OF OUR WEBSITE AND SERVICES IS AT YOUR SOLE RISK. OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

MOD PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DO NOT WARRANT THAT:

  • THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM THE USE OF THE WEBSITE OR SERVICES WILL BE ACCURATE OR RELIABLE
  • THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE WEBSITE WILL MEET YOUR EXPECTATIONS
  • ANY ERRORS IN THE WEBSITE WILL BE CORRECTED

Some jurisdictions do not allow the exclusion of certain warranties. If you are located in a jurisdiction where such exclusions are not permitted, some or all of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOD PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) OUR WEBSITE OR SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR WEBSITE
  • ANY CONTENT OBTAINED FROM OUR WEBSITE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
  • YOUR RELIANCE ON ANY INFORMATION PROVIDED ON OUR WEBSITE
  • ANY ERRORS, INACCURACIES, OR OMISSIONS IN OUR MENU, PRICING, OR PRODUCT INFORMATION

IN NO EVENT SHALL MOD PIZZA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO MOD PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE LIMITATIONS OF THIS SECTION WILL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Mod Pizza, its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service
  • Your use of our Website or services, including any data or content you transmit or receive
  • Your violation of any rights of a third party, including intellectual property rights or privacy rights
  • Your violation of any applicable laws, regulations, or ordinances
  • Any User Content you submit, post, or transmit through our Website
  • Your negligence, willful misconduct, or fraud

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You shall not settle any such claim without our prior written consent.

12. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Mod Pizza primarily operates, without regard to its conflict of law provisions.

To the extent that federal law applies, these Terms shall be governed by applicable federal law, including but not limited to the Federal Trade Commission Act (FTC Act), as enforced by the Federal Trade Commission (FTC), which prohibits unfair or deceptive acts or practices in or affecting commerce. Where applicable, the provisions of the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) may apply to California residents.

Any legal action or proceeding arising out of or related to these Terms or our services that is not subject to arbitration as provided below shall be instituted exclusively in the federal or state courts of the United States. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such action or proceeding in such courts.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Mod Pizza at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the issue within thirty (30) days of receiving your written notice describing the nature of the dispute and the relief sought.

13.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, the breach thereof, or your use of our services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are incorporated herein by reference. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding upon both parties.

The arbitration shall be conducted on an individual basis. Neither you nor Mod Pizza may join or consolidate claims in arbitration with those of any other person, or arbitrate any claim as a representative or member of a class, or in a private attorney general capacity. This class action waiver is an essential element of this arbitration agreement, and no arbitrator shall have authority to proceed with class arbitration.

13.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights. Additionally, claims that fall within the jurisdiction of small claims court may be brought in such court.

13.4 Waiver of Jury Trial

BY AGREEING TO THESE TERMS, YOU AND MOD PIZZA EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Term and Termination

14.1 Term

These Terms of Service shall remain in full force and effect while you use our Website or services. Certain provisions of these Terms, by their nature, shall survive termination, including but not limited to intellectual property rights, disclaimers, indemnification, limitation of liability, and dispute resolution provisions.

14.2 Termination by Us

We reserve the right, in our sole discretion, to terminate or suspend your account and access to our Website and services at any time, with or without notice, for any reason, including but not limited to:

  • Your breach of any provision of these Terms
  • Conduct that we believe is harmful to other users, third parties, or our business interests
  • Violation of any applicable law or regulation
  • Fraudulent, abusive, or illegal activity
  • Extended periods of account inactivity

14.3 Termination by You

You may terminate your account and stop using our services at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not affect any rights or obligations that arose prior to termination, including any outstanding payment obligations.

14.4 Effect of Termination

Upon termination of your account or access, your right to use our Website and services immediately ceases. We may delete your account information and any associated data, though we may retain certain information as required by law or for legitimate business purposes.

15. Changes to These Terms

Mod Pizza reserves the right to modify, amend, or update these Terms of Service at any time, in our sole discretion. When we make material changes to these Terms, we will provide notice by updating the "Last Updated" date at the top of this page and, where appropriate, by sending you an email notification to the address associated with your account or by posting a prominent notice on our Website.

Your continued use of our Website or services after any changes to these Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our Website and services immediately. We encourage you to review these Terms periodically to stay informed of any updates.

For significant changes that materially affect your rights, we will provide at least thirty (30) days' advance notice before such changes take effect, to the extent reasonably practicable.

16. Severability

If any provision of these Terms of Service is held to be invalid, illegal, unenforceable, or in conflict with any applicable law by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

The failure of Mod Pizza to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any right or provision shall only be effective if in writing and signed by a duly authorized representative of Mod Pizza.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by Mod Pizza on the Website, constitute the entire agreement between you and Mod Pizza concerning your use of our Website and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

No oral or written information or advice given by Mod Pizza or any of its authorized representatives shall create a warranty or in any way increase the scope of the warranties expressly disclaimed in these Terms.

18. Force Majeure

Mod Pizza shall not be liable for any delay, interruption, or failure to perform any obligation under these Terms where such delay, interruption, or failure results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, terrorism, civil unrest, governmental actions, labor disputes, power outages, internet service disruptions, supply chain interruptions, or any other circumstances beyond our reasonable control ("Force Majeure Event").

In the event of a Force Majeure Event, we will notify you as soon as reasonably practicable and will resume performance of our obligations as soon as the Force Majeure Event has ended or its effects have sufficiently subsided.

19. Children's Privacy

Our Website and services are not directed to children under the age of thirteen (13). We do not knowingly collect personal information from children under 13. If you are a parent or guardian and believe that your child has provided us with personal information, please contact us immediately at [email protected]. If we discover that we have inadvertently collected personal information from a child under 13, we will take prompt steps to delete such information from our records in compliance with the Children's Online Privacy Protection Act (COPPA).

We strive to comply with applicable accessibility standards, including the Web Content Accessibility Guidelines (WCAG) 2.1. If you experience any accessibility barriers while using our Website, please contact us at [email protected] and we will make reasonable efforts to address your concerns.

21. California Residents

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know what personal information we collect, the right to delete your personal information, the right to opt out of the sale or sharing of your personal information, and the right to non-discrimination for exercising your privacy rights. Please refer to our Privacy Policy for more information about your rights as a California resident.
